1. Agreement to Terms

By accessing or using AgentiumCEO, you agree to be bound by these Terms of Service. If you are using AgentiumCEO on behalf of a business, you represent that you have the authority to bind that business to these terms. You must be at least 18 years old to use this service.

2. Description of Service

AgentiumCEO is an AI-powered business operating system that provides specialized AI agents to perform business functions including marketing, sales, operations, finance, customer success, procurement, HR, and legal tasks.

The platform manages third-party services on your behalf when you connect integrations such as Google Ads, Gmail, LinkedIn, and others. Results from AI agents are generated based on your business data and are not guaranteed. AI-generated content, strategies, and recommendations require your review and approval before consequential actions are taken.

3. Account Registration

• You must provide accurate and complete information when creating an account
• One account per business entity
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• Access to AgentiumCEO may be gated by an application and approval process

4. Acceptable Use

You agree to use AgentiumCEO only for legitimate business purposes. You may not:

• Use the platform for spam, harassment, fraud, or any illegal activity
• Attempt to access other customers' data or accounts
• Reverse engineer, decompile, or disassemble the platform
• Use the platform to send unsolicited commercial messages in violation of applicable laws including CAN-SPAM, TCPA, and GDPR
• Exceed rate limits or abuse platform resources
• Resell access to the platform without authorization

You are responsible for compliance with all applicable laws regarding outreach emails, advertising, and data handling in your jurisdiction.

5. AI Agent Services

AI agents operate under your delegated authority within the AgentiumCEO platform. The following rules apply:

• Free actions (analysis, reports, drafts, data retrieval) may execute immediately without explicit approval
• Consequential actions (sending emails, launching ad campaigns, spending money) require your approval or operate within spending limits and trust levels you configure
• AgentiumCEO is not liable for results produced by AI agents, including the accuracy of AI-generated content, the performance of advertising campaigns, or the quality of leads generated
• You are responsible for reviewing and approving AI-generated content before it is sent or published externally
• AI agents may make errors. Final responsibility for business decisions rests with you

6. Payment Terms

• Subscription plans are billed monthly through Stripe
• Advertising spend is funded through your AgentiumCEO wallet and deducted based on actual costs reported by advertising platforms
• A platform fee may apply to advertising services managed through the platform
• Refunds are handled on a case-by-case basis
• We may change pricing with 30 days advance notice via email
• Failure to pay may result in account suspension

7. Third-Party Integrations

When you connect third-party services (Google Ads, Gmail, LinkedIn, etc.), you authorize AgentiumCEO to access and manage those accounts on your behalf within the scope of the permissions granted. You can disconnect any integration at any time through Settings.

We are not responsible for outages, policy changes, or actions taken by third-party platforms. You must comply with the terms of service of all connected third-party platforms.

8. Intellectual Property

The AgentiumCEO platform, including its code, AI agents, design, and documentation, is the intellectual property of AgentiumCEO. Content you create through the platform (emails, ad copy, strategies, reports) belongs to you. You grant us a non-exclusive license to use your content as necessary to operate and improve the platform.

9. Data and Privacy

Our Privacy Policy governs how we handle your data. Key points:

• You own your business data
• We do not sell your data to third parties
• We do not use your data to train AI models
• Each tenant has isolated data storage

10. Limitation of Liability

AgentiumCEO is provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability is limited to the fees you paid to AgentiumCEO in the 12 months preceding the claim
• We are not responsible for advertising performance, email deliverability, lead quality, or revenue outcomes
• AI-generated content may contain errors, inaccuracies, or unsuitable recommendations. You are responsible for reviewing all content before use

11. Indemnification

You agree to indemnify and hold harmless AgentiumCEO, its operators, and affiliates from any claims, damages, or expenses arising from your use of the platform, including claims related to outreach emails you send, advertising content you approve, data handling practices, or violation of third-party terms of service.

12. Termination

• Either party may terminate the agreement with 30 days written notice
• We may suspend or terminate accounts immediately for violations of these terms
• On termination, your data is available for export for 30 days, after which it is permanently deleted
• Sections regarding liability, indemnification, and intellectual property survive termination

13. Governing Law

These Terms are governed by the laws of the State of Florida, United States. Any disputes arising from these terms or the use of AgentiumCEO shall be resolved in the courts located in the State of Florida.

14. Changes to Terms

We may update these Terms of Service from time to time. We will notify users of significant changes via email at least 30 days before they take effect. Continued use of the platform after changes constitutes acceptance of the updated terms.
