1. Acceptance of Terms

By creating an account or using Agentium CEO ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms constitute a legally binding agreement between you and Agentium CEO.

2. Description of Service

Agentium CEO is a software-as-a-service platform that provides AI-powered organizational agents for businesses. The Service includes: AI agents organized into departments, automated workflow execution, weekly executive briefings, escalation routing, and a CEO dashboard. The Service operates on cloud infrastructure and is accessed via web browser and email.

3. Account Responsibilities

You are responsible for:

• Providing accurate information during registration
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Reviewing and acting on escalations and briefings in a timely manner
• Ensuring your use of the Service complies with applicable laws

You must be at least 18 years old and have the legal authority to bind the business entity you register.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Send spam, unsolicited communications, or deceptive messages through agent email identities
• Attempt to access another customer's data or infrastructure
• Interfere with the operation of the Service or other customers' use
• Use agents to generate content that is illegal, harmful, or violates third-party rights
• Reverse-engineer, decompile, or attempt to extract the source code of the Service

5. AI Agent Limitations and Disclaimers

AI agents are automated systems that execute predefined workflows using artificial intelligence. You acknowledge that:

• Agents may produce inaccurate, incomplete, or inappropriate outputs
• Agent outputs do not constitute professional advice of any kind
• You are responsible for reviewing and approving agent outputs before acting on them in the real world
• The escalation system exists specifically to route decisions that require human judgment to you
• Agentium CEO is not liable for decisions made based on agent outputs

6. No Financial Advice

The Finance department agents (invoicing, budget tracking, financial reporting) provide operational automation only. Their outputs do not constitute financial advice, tax advice, or accounting services. You should consult qualified financial professionals for financial decisions. Agentium CEO is not a registered financial advisor, accountant, or tax preparer.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided on a "best effort" basis. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify you of planned maintenance in advance. We are not liable for any damages resulting from Service unavailability.

8. Payment and Billing

Paid plans are billed monthly or annually as selected at signup. Prices are in US dollars. You authorize us to charge your payment method on a recurring basis. Failed payments may result in suspension of your account after a 7-day grace period.

9. Cancellation and Refunds

You may cancel your account at any time from the CEO dashboard or by contacting support. Upon cancellation:

• Monthly plans: access continues until the end of the current billing period. No refund for the current period.
• Annual plans: a prorated refund is issued for the remaining unused months.
• All agent executions stop at the end of the billing period.
• Your data is retained for 30 days, then permanently deleted.

10. Intellectual Property

The Service, including its design, code, documentation, and brand, is owned by Agentium CEO. Your business data remains yours. We do not claim ownership of any data you input into or generate through the Service. You grant us a limited license to process your data solely for the purpose of operating the Service.

11. Limitation of Liability

To the maximum extent permitted by law, Agentium CEO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

12. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email at least 30 days before they take effect. Your continued use of the Service after the effective date of updated terms constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these terms or the Service shall be resolved in the state or federal courts located in Florida.
